Audit and Risk Management Committee

The Audit and Risk Management Committee oversees SNH’s financial control, accounting, audit and risk management procedures on behalf of the Board. The ARMC report to the SNH Board, SNH’s audit programme and will report to the Board after each meeting of the ARMC.

The roles and responsibilities of the Audit and Risk Management Committee are:-

i. to oversee the development of SNH’s internal audit plans in accordance with the Government’s initial audit manual;

ii. to receive and consider the annual report by SNH’s Head of Audit & Review, to satisfy itself as to the adequacy of SNH’s internal control system, and to advise the Chief Executive and the Board accordingly;

iii. to consider reports by Audit Scotland on SNH’s annual accounts or other matters, including the achievement of value for money;

iv. to oversee SNH’s arrangements for the attainment of value for money, regularity and propriety; and

v. to oversee SNH’s arrangements for corporate governance, including risk management, and to advise the Board as appropriate.

The Audit and Risk Management Committee is an advisory body with no executive powers. However, it is authorised by the Board to investigate any activity within its terms of reference, and to seek any information it requires from staff, who are requested to co-operate with the Committee in the conduct of its enquiries. Requests for work and reports received from the Audit & Review Unit will be channelled through the Accountable Officer, to whom the Head of Audit & Review reports.

The Audit and Risk Management Committee is authorised to obtain independent professional advice if it considers this necessary.

The number and composition of the membership is approved by the SNH Board. It normally comprises four non-executive: the chairman being an SNH Board member and other members not necessarily members of the SNH Board but being appointed to achieve an appropriate balance of skills and experience.The Senior Management unit provide the Secretary to the Committee.

The Accountable Officer, Principal Finance Officer and the Head of Audit & Review will normally attend meetings, along with other staff, as appropriate. Audit Scotland will be normally invited to meetings, and will have the opportunity at least once a year to meet the Committee in private.

Four meetings will be held per annum. Other meetings will be on an ‘ad hoc’ basis.
